TERMS OF SERVICE AGREEMENT


PLEASE READ THE FOLLOWING TERMS OF USE AGREEMENT CAREFULLY BY ACCESSING OR USING OUR SITES, APPS AND/OR OUR SERVICES, YOU HEREBY AGREE TO BE BOUND BY THE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS AND CONDITIONS, THEN PLEASE DO NOT ACCESS OR USE OUR SITES, APPS OR OUR SERVICES. THIS TERMS OF SERVICE AGREEMENT WAS LAST REVISED AS OF APRIL 20, 2020.

ACCEPTANCE OF TERMS

This Terms of Service Agreement (the "TOS") is a legally binding agreement that shall govern the relationship with our users and others ("you" "your") which may interact or interface with Simple Healthcare LLC ("SHL" "we", "our", "us"), doing business as Green Circle Life, with address of 5 Portofino Drive, Suite 2101, Pensacola Beach, Florida 32561, and its subsidiaries and affiliates, in association with the use of the SHL websites, which includes greencirclelife.com, smartfhr.com, gogch.com and other addresses (the "Site"), apps and its services, herein after collectively defined below ("Services").

DESCRIPTION OF SERVICES OFFERED

Green Circle Life offers an information service platform for a person to access information and services provided by us or third parties, to store, use and share personal, medical, financial, HR and other data including but not limited to personal information, medical history, vitals and documents. Green Circle Life stores medical data typically needed to check-in at a medical facility. Green Circle Life enables recording and remote monitoring of vitals and fitness activities for health and wellness. Green Circle Life offers apps like SmartFHR™, application support and live coaching assistance and they are hereby included in this service definition. Green Circle Life platform offers a communication gateway for application related communications, HR and benefits communications, and coordination of wellness and care programs among family members, care givers, coaches and healthcare providers. These communication facilities include but are not limited to the use of email, SMS, MMS, voice, in-app notification, push notification and messaging services. You here-by consent that these facilities may be used by SHL, employers, employees and other service providers. Any third-party charges related to use of internet, mobile device or data plan are responsibility of the user.

Such services may be offered to you by employers, insurers, brokers, associations, healthcare systems and clinical or academic research organizations. Such services may be accessed using web browsers, APIs or apps. Any and all visitors to our Site directly or via APIs or apps, despite whether they are registered or not, shall be deemed as "users" of the herein contained Services provided for the purpose of this TOS. Once an user registers for our Services, through the process of creating an account, the user shall then be considered a "member." All members are users, but all users are not members.

The user acknowledges and agrees that the Services provided and made available through our websites, and applications, which may include mobile applications - apps - and that those applications may be made available on various online sites and numerous other platforms, stores and downloadable programs, are the sole property of SHL. At its sole discretion, SHL may offer additional websites or services and/or products, or update, modify or revise any current content and Services, and this Agreement shall apply to any and all additional services and/or products and any and all updated, modified or revised Services unless otherwise stipulated. SHL does hereby reserve the right to cancel and cease offering any of the aforementioned Services and/or products. You, as the end user and/or member, acknowledge, accept and agree that SHL shall not be held liable for any such updates, modifications, revisions, suspensions or discontinuance of any of our Services and/or products. Your continued use of the Services provided, after such posting of any updates, changes, and/or modifications shall constitute your acceptance of such updates, changes and/or modifications, and as such, frequent review of this Agreement and any and all applicable terms and policies should be done by you to ensure you are aware of all terms and policies currently in effect. Should you not agree to the updated, modified, revised or modified terms, you must stop using the Services.

Furthermore, the user understands, acknowledges and agrees that the Services offered shall be provided "AS IS" and as such SHL shall not assume any responsibility or obligation for the timeliness, missed delivery, deletion and/or any failure to store or deliver any content, notification, communication or personalization settings.

REGISTRATION

To register and become a "member" of the Service, you must be 18 years of age to enter into and form a legally binding contract. In addition, you must be in good standing and not an individual that has been previously barred from receiving SHL's Services under the laws and statutes of the United States or other applicable jurisdiction.

Furthermore, the registering party hereby acknowledges, understands and agrees to:

  1. furnish factual, correct, current and complete information with regards to yourself as may be requested by the registration process, and
  2. maintain and promptly update your registration and profile information in an effort to maintain accuracy and completeness at all times.

If anyone knowingly provides any information of a false, untrue, inaccurate or incomplete nature, SHL will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the Agreement, and as such refuse any and all current or future use of Green Circle Life Services, or any portion thereof.

It is SHL's priority to ensure the safety and privacy of all its visitors, users and members, especially that of children. Therefore, it is for this reason that the parents of any child under the age of 18 that permit their child or children access to the Green Circle Life websites or Services must create a "family" account, which will certify that the individual creating the "family" account is of 18 years of age and as such, the parent or legal guardian of any child or children registered under the "family" account. As the creator of the "family" account, s/he is thereby granting permission for his/her child or children to access the various Services provided, including, but not limited to, calls, message boards, email, SMS, MMS, and/or instant messaging. It is the parent's and/or legal guardian's responsibility to determine whether any of the Services and/or content provided are age-appropriate for his/her child.

PRIVACY POLICY

Every member's registration data and various other personal information are protected by the SHL Privacy Agreement as defined at https://www.smartfhr.com/app/privacy. As a member, you herein consent to the Privacy Agreement and the collection and use of the information provided, including the transfer of information for storage, processing or use by you, SHL and/or our subsidiaries and affiliates.

MEMBER ACCOUNT USERNAME, PASSWORD AND SECURITY

Your member account username will be your selected email or your organization provided identification. To protect your account and your data, you must use a strong password which cannot be easily guessed. The password should be at least eight characters long and should have at least one uppercase letter, one lowercase letter and one digit. You should change your password frequently. You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. It shall be your responsibility to notify SHL immediately if you notice any unauthorized access or use of your account or password or any other breach of security. SHL shall not be held liable for any loss and/or damage arising from your failure to comply with this term and/or condition of the TOS.

CONDUCT

As a member, you herein acknowledge, understand and agree that all information, text, software, data, photographs, music, video, messages, tags or any other content, whether it is publicly or privately posted and/or transmitted, is the expressed sole responsibility of the individual from whom the content originated. In short, this means that you are solely responsible for any and all content posted, uploaded, emailed, transmitted or otherwise made available by way of Green Circle Life Services, and as such, we do not guarantee the accuracy, integrity or quality of such content. It is expressly understood that by use of our Services, you may be exposed to content including, but not limited to, any errors or omissions in any content posted, and/or any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available by Green Circle Life.

Furthermore, you herein agree not to make use of Green Circle Life's Services for the purpose of:

  1. uploading, posting, emailing, transmitting, or otherwise making available any content that shall be deemed unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or invasive of another's privacy or which is hateful, and/or racially, ethnically, or otherwise objectionable;
  2. causing harm to minors in any manner whatsoever;
  3. impersonating any individual or entity, including, but not limited to, any SHL officials, forum leaders, guides or hosts or falsely stating or otherwise misrepresenting any affiliation with an individual or entity;
  4. forging captions, headings or titles or otherwise offering any content that you personally have no right to pursuant to any law nor having any contractual or fiduciary relationship with;
  5. uploading, posting, emailing, transmitting or otherwise offering any such content that may infringe upon any patent, copyright, trademark, or any other proprietary or intellectual rights of any other party;
  6. uploading, posting, emailing, transmitting or otherwise offering any content that you do not personally have any right to offer pursuant to any law or in accordance with any contractual or fiduciary relationship;
  7. uploading, posting, emailing, transmitting, or otherwise offering any unsolicited or unauthorized advertising, promotional flyers, "junk mail," "spam," or any other form of solicitation, except in any such areas that may have been designated for such purpose;
  8. uploading, posting, emailing, transmitting, or otherwise offering any source that may contain a software virus or other computer code, any files and/or programs which have been designed to interfere, destroy and/or limit the operation of any computer software, hardware, or telecommunication equipment;
  9. disrupting the normal flow of communication, or otherwise acting in any manner that would negatively affect other users' ability to participate in any real time interactions;
  10. interfering with or disrupting any Green Circle Life Services, servers and/or networks that may be connected or related to our website, including, but not limited to, the use of any device software and/or routine to bypass the robot exclusion headers;
  11. intentionally or unintentionally violating any local, state, federal, national or international law, including, but not limited to, rules, guidelines, and/or regulations decreed by the U.S. Securities and Exchange Commission, in addition to any rules of any nation or other securities exchange, that would include without limitation, the New York Stock Exchange, the American Stock Exchange, or the NASDAQ, and any regulations having the force of law;
  12. providing informational support or resources, concealing and/or disguising the character, location, and or source to any organization delegated by the United States government as a "foreign terrorist organization" in accordance to Section 219 of the Immigration Nationality Act;
  13. "stalking" or with the intent to otherwise harass another individual; and/or
  14. collecting or storing of any personal data relating to any other member or user in connection with the prohibited conduct and/or activities which have been set forth in the aforementioned paragraphs.

SHL hereby reserves the right to pre-screen, refuse and/or delete any content available through our Services. In addition, we reserve the right to remove and/or delete any such content that would violate the TOS, or which would otherwise be considered offensive to other visitors, users and/or members.

SHL hereby reserves the right to access, preserve and/or disclose member account information and/or content if it is requested to do so by law or in good faith belief that any such action is deemed reasonably necessary for:

  1. compliance with any legal process;
  2. enforcement of the TOS;
  3. responding to any claim that therein contained content is in violation of the rights of any third party;
  4. responding to requests for customer service; or
  5. protecting the rights, property or the personal safety of SHL, its visitors, users and members, including the general public.

SHL hereby reserves the right to include the use of security components that may permit digital information or material to be protected, and that such use of information and/or material is subject to usage guidelines and regulations established by SHL or any other content providers supplying content services to SHL. You are hereby prohibited from making any attempt to override or circumvent any of the embedded usage rules in our Services. Furthermore, unauthorized reproduction, publication, distribution, or exhibition of any information or materials supplied by our Services, despite whether done so in whole or in part, is expressly prohibited.

CAUTIONS FOR GLOBAL USE AND EXPORT AND IMPORT COMPLIANCE

Due to the global nature of the internet, through the use of our network you hereby agree to comply with all local rules relating to online conduct and that which is considered acceptable Content. Uploading, posting and/or transferring of software, technology and other technical data may be subject to the export and import laws of the United States and possibly other countries. Through the use of our Services, you thus agree to comply with all applicable export and import laws, statutes and regulations, including, but not limited to, the Export Administration Regulations (http://www.access.gpo.gov/bis/ear/ear_data.html), as well as the sanctions control program of the United States (http://www.treasury.gov/resource-center/sanctions/Programs/Pages/Programs.aspx). Furthermore, you state and pledge that you:

GENERAL INFORMATION

ENTIRE AGREEMENT

CHOICE OF LAW AND FORUM

Strengthening the Case for Primary Care

Recent legislative initiatives and the introduction of new incentives via the Affordable Care Act (ACA) are mandating new approaches to primary care. The impact of the ACA has been both immediate and sizeable, with nearly 15 million additionally insured U.S. citizens now seeking healthcare services.

This sudden influx is driving the need for more primary care providers (PCPs) as a more cost-effective alternative to specialists and emergency room visits. The reality, however, is that there are simply fewer doctors practicing primary care today because it is typically less lucrative (Medscape's most recent annual physician compensation survey reports that PCPs make 45 percent less than specialists).

Since there is a greater influx of patients into PCP practices, PCPs will be required to participate in efforts geared towards remote health monitoring, coordination of care and population health. There is a growing need for tools that can significantly improve the efficiency and productivity of PCPs, without sacrificing quality and level of healthcare.

Wellness Programs Beginning to Pay Off

Current wellness programs have two primary, interrelated goals: to save employers' money and to keep employees and their families healthy. These programs have matured over time and are very similar to each other.

For employers, having something in place is better than having nothing. While today's programs have made some progress in terms of participation, there is still an opportunity to increase employee engagement and improve the overall results. Wellness programs focus on early detection through testing for medical conditions, as well as behavioral changes to improve health. To change behaviors, promote healthier lifestyles and facilitate more effective management of medical conditions, we need to change the existing wellness model from one of open-ended occasional contact with a wellness coordinator to a closed-loop feedback system that hinges on constant collaborative feedback and ongoing remote monitoring between employees and their families. The resulting ROI from this new approach to wellness programs would be an order of magnitude better than current levels, which are hovering between $1 and $3 for every dollar invested (depending on who you ask).

Healthcare looks to future in cloud computing

Healthcare data are entering a new era with the mass adoption of EHRs, the harnessing of big data, the rise of genomics, personalized medicine, and more. To manage all that data, hospitals and other healthcare entities will increasingly be looking to new solutions involving the cloud, numerous tech experts tell Healthcare Dive, and are increasingly ready to move past the regulatory and security concerns that have previously held healthcare back.

The research appears to back those ideas up; a report by MarketsandMarkets predicts the healthcare cloud computing market will grow from $3.73 billion in 2015 to $9.48 billion by 2020.

It's not only the need for data storage driving the move, but pushes to advance interoperability, payment reform, mobile data access, and security, says Missy Krasner, Managing Director for Healthcare & Life Sciences of Box, a cloud storage and collaboration company working with institutions including the Henry Ford Health System, Beaumont Health System, and Johns Hopkins Healthcare Solutions. Krasner previously served as a founding member of Google Health and was a senior advisor to the first National Coordinator for Health IT at the ONC.

"Now because healthcare is so in need of better interoperability and better connections, they need to figure out a better way to communicate outside of their firewalls with all the people they do business with every single day, and that's really hard to do if your data are locked on-prem in servers," Krasner says.

Hospitals and payers have historically been slower to the cloud than other industries, but "in the last five years there's been a massive move," she says, noting that according to MarketsandMarkets, there has been growth from about 4% of the healthcare industry doing some kind of cloud computing to a prediction of 20% by 2017. "There's been a very large year-over-year adoption," she says.

Why now?
"It's a data explosion," Krasner says, arguing there's no way healthcare entities can continue, from an infrastructure standpoint, to house all their data onsite with their own servers because of the expense and the lockdown on the data. "If it's all in separate enterprise silos such as EHRs, billing and registration systems, it's difficult to do an analysis," she says. "Doing it in the cloud allows for one platform and one security model, and immediate access to start doing things with the data."

For providers, these wearables have advanced from counting steps to measuring heart rates and other physiological parameters, while also presenting one of the most cost-effective methods for ongoing monitoring of health data. Despite consumer popularity, adoption of home-based health monitoring and fitness devices and the use of such data among physicians remains low.

Although the payments for such services are typically not covered by payers, the economics of healthcare services are changing in the shift toward pay for performance. In addition, several new legislative initiatives and incentives - targeted at reducing the cost of treatment and improving outcomes - will pave a dynamic way for patient-provider interaction. The expanded availability of healthcare to millions of Americans through the Affordable Care Act increased costs, and the healthcare industry is prioritizing self-improvement to boost the overall efficiency and productivity in the evolving model. To this end, it is critical that physicians support the adoption of new devices and monitoring technologies to help patients develop healthy lifestyles and ensure long-term success.

Engagement is a Two-Way Street

Can mHealth Be Deployed by Health Systems Across the Care Continuum?

There are two primary challenges slowing mHealth's deployment across the care continuum: the technical challenge of interoperability and the human challenge of adopting a new workflow. However, innovations that provide a layered approach with incremental changes to existing technologies have a higher potential for success in this environment

In order to improve the health of the population, mobile devices for patients and providers must be leveraged to extend the care beyond a clinical environment. These devices are "always on," providing a constant channel of communication and engagement with patients, family members, caregivers and healthcare providers, as well as a stronger method of coordinating services.

Likewise, improving outcomes within a hospital require leveraging mobile devices to reduce errors and provide a better channel for transporting and sharing data and information. These same devices can be used to improve staff productivity and monitor patients as they progress through the various stages of care. Check-in processes can be streamlined, minimizing wait times. Records and vital data can be made available on a patient's mobile device, while seamlessly flowing to providers' tablets and backend systems.

This accessibility allows providers to focus on understanding and communicating the information; they can prescribe medication with greater accuracy and efficiency or implement a plan with ongoing monitoring that provides the same level of care, whether at home or in the hospital.

Mobile technology impacts every aspect of healthcare delivery improves outcomes and lowers costs. The challenges, which are both cultural and system-wide, require bold leadership and imagination. The future is bright, but a path must be taken one step at a time. It is not going to be easy.

Half-baked ideas at HIMSS 2015 that could become future healthcare game-changers

Many of the big announcements at HIMSS conferences are bow-wrapped products ready to hit the market: the IBM blockbuster is a prime example. But what's more intriguing are the many companies, big and small, rolling out brand new ideas that are taking their first swing as solutions to the big problems in healthcare.

These offerings are often more rough drafts than finished products. For these companies, HIMSS, instead of a place to close deals, becomes the launching pad for these concepts that will be adjusted, retooled, copied by others and re-launched until they become something healthcare can really use to become better, faster and cheaper.

I fell in love with a few of these concepts walking the show floor. Here are some of my favorite half-baked ideas from HIMSS15.

GCH Platform
Green Circle Health's GCH Platform is the definition of the wonderful half-baked ideas at HIMSS: a dynamic, imagination-capturing yet flawed attempt to deliver a lasting personal health record. Yet you can truly see people carrying a more polished GCH Platform through their lives like their 401(k) or e-mail addresses.

The platform accepts data as is. It will, preferably, digest health records and provide analytics. It also ingests information from wearables. But it will also accept PDFs and image files like jpg and store those, too. What matters is having the information gathered together.

GCH is also elegant in the way it connects family members to view one another's records, while also providing a nice interface for practitioners and other caregivers.

It still requires patients to do a bit too much typing, though. It needs to adopt a Delectable approach to basic health data: let patients take pictures of their Walgreens blood-pressure results, for example, and - poof! - translate that information into GCH. There's also the question of how to let this snazzy record live beyond any employer, payer or provider. In concept, an employer would pay no more than $25 per year per family to provide the service. Would a family carry on that cost? Or could they get it for free?

But you know this product has merit because if you talk with the Green Circle's founder you find yourself having yes-and conversations and exploring how this could work instead of why it won't.

"We need to get out of Apple Newton and get to the iPod stage," said Dinesh Sheth, a healthcare outsider who is CEO and founder of GCH.

PENSACOLA BEACH, Fla. July 25, 2016 - Green Circle Health (GCH) announced that it was recognized as a Phase 1 winner in the Office of the National Coordinator for Health Information Technology's (ONC) Consumer Health Data Aggregator Challenge.

The company's GCH Platform, which is a health and wellness platform that engages families and care providers, was chosen as one of the best solutions that address a need that many consumers have today: the ability to easily and electronically access their health data from different health care providers using a variety of different health IT systems.

The Consumer Health Data Aggregator Challenge, along with the Provider User Experience Challenge, was announced in March by Dr. Karen DeSalvo, National Coordinator for Health Information Technology at ONC. Both challenges were developed to foster private sector innovation to help make health information available in user-friendly formats to enable consumers and providers to easily and securely access and share electronic health information. Applicants were challenged to use the Fast Healthcare Interoperability Resources (FHIR®) standard and open application programming interfaces (APIs), which are modern resources that make it easier to retrieve and share information superseding what currently exists in most Electronic Health Records (EHRs).

Green Circle Health Launches Care Management Program for Sickle Cell Anemia and Diabetes with a Major Health Insurer

Florida-Based Health Care Tech Company Picks Indiana for Client Services Center

Green Circle Health is the latest health care tech firm to announce its plans to expand in Indiana. In August, biopharmaceuticals and medical technologies consulting firm DK Pierce & Associates broke ground on the company's new headquarters in Zionsville, with plans to create 23 new high-wage jobs. TriMedx, a provider of health care technology management services, announced in November that it was expanding in Indianapolis, adding 108 new jobs.

Announced last year, the Consumer Health Data Aggregator Challenge was developed to foster private sector innovation to make health information available in user-friendly formats and enable consumers and providers to easily and securely access and share electronic health information. Industry Awards Recognize Leaders in Advanced Healthcare Technology Solutions


NEW YORK, February 13, 2017 - The Intelligent Health Association (IHA) announced today the recipients of the IHA 2017 Awards, both special recognition and competitive. Each year IHA recognizes an individual or institution that has demonstrated leadership in the digital health community. In 2017, the IHA Special Recognition Award recipient is Patrick Soon-Shiong, Founder and Chief Executive Officer for NantHealth, which offers a systems-based approach to personalized healthcare integrating novel diagnostics with large-scale, biometric and phenotypic data to track patient outcomes and deliver precision medicine. Dr. Soon-Shiong will receive his award Monday, February 20 at 11:20am at the IHA Pavilion, HIMSS17, Orlando, FL.

This year, IHA offered two competitive awards. The third award, the GRAND Award, is chosen from these two awardees.

  • The 2017 IHA Improving Patient Care and Health Delivery award is being presented to Hamilton Health Sciences for reducing in-hospital cardiac and respiratory arrests using a novel mobile application. Hamilton Health Sciences is one of Canada's top five research hospitals and is currently conducting research in over 1,500 centers across 86 countries. With the help of the ThoughtWire service team, they were able to pilot a working solution that was up and running in eight weeks. The results: Critical Care Response Team consults decreased 17 percent; CPR with Code Blue calls were reduced by six percentage points.
  • The 2017 Innovative Healthcare Award is being presented to Sentara Healthcare (Norfolk, VA), specifically their Sentara Princess Anne Hospital Neonatal Intensive Care Unit (NICU), for eliminating alarm fatigue and giving staff critical and timely tools in addressing patients' needs. The wireless solution is a highly coordinated effort among staff and vendors including the Vocera Engage alarm management and clinical communication solution incorporated with a Real-Time Location System (RTLS), telecommunications, and patient monitors. The result was a 54percent reduction in duplicative patient monitoring alarms, a 94 percent increase in staff satisfaction as it relates to alarm management, and overall improved quality of care for patients. Pioneers at heart, Sentara Healthcare gained worldwide recognition when America's first in-vitro baby was born at Sentara Norfolk General Hospital.

3 industry reactions to the CVS/Aetna merger

CVS Health Corp.'s deal to acquire Aetna Inc. for about $67.5 billion in cash and stock has the health care industry abuzz, nearly overshadowing the other weekend's major news, the passage of the Senate's tax bill. Granted it's going to take experts just a little bit longer to weigh the effects of that 500-page document on health care, but for now, those in the industry have plenty to say about the CVS/Aetna deal.

For the most part, everyone agrees that the move has the potential to disrupt health care--whether it delivers, however, depends on a number of factors. What could change, and what would it mean for consumers? Let's hear from three industry leaders:

Brian Marcotte, CEO of the National Business Group on Health in Washington, D.C.

"This acquisition is unlike others we've seen in health-care, which have been more horizontal than vertical. We've seen other vertical acquisitions, such as hospitals becoming insurers, but the concern we've had is that there's not a good track record of these health care mergers improving customer experience or lowering the cost of health care.

"What's interesting about this one is that it does have the potential to create better access and more convenience to consumers through CVS' retail pharmacy network. However, CVS will need to expand the number of its clinics, and not just the number of locations, but maybe also the breadth of services in order to do that. If they can deliver that, it could result in lower costs for these types of services.

"One of the challenges with retail clinics today is that they pretty much sit outside the health-care ecosystem. Without networks, is there a way to integrate the health-care delivery in retail pharmacies into the broader delivery system, and share the data and integrate better with primary care offices? Maybe retail can take on routine care, freeing up primary care physicians to deal with more complex issues.

"The question that employers will have is whether this new entity can execute, given that health-care is local, with a very fragmented delivery system. The track record from the mergers within health-care haven't been great, so skepticism will be around execution - but the opportunity is there.

"The other question is whether this new entity can disrupt an overly complex pharmacy supply chain, or will it otherwise continue to entrench an already entrenched business model? There are possibilities around the management of both pharmacy and medical collectively. When managed separately, that sometimes creates the wrong incentives, but integrating pharmacy and medical management can impact the total costs of care."

Jim Winkler, global chief innovation officer of Health at Aon, Norwalk, Connecticut

"We're all working off a fairly limited amount of information at this point, but to us, this is a transaction that has the potential to be transformative as it relates to how health care is accessed and paid for - and not just pharmaceuticals.

"There is lots of coverage around pharmaceuticals, given this is CVS, but we look at this as one of many things that is happening in health care that seek to transform the way we seek care from traditional players in this ecosystem - potentially creating space for new entrants to come in.

"While this is a very big transaction between two very big companies, this is really going to be one where innovation has to have as big as a seat at the table as integration when the two companies come together. In a typical merger-of-equals by competitors in the same space, it's really about integration - taking out costs. But since this transaction is by adjacent players in different parts of the health ecosystem, it's really important for the leaders to think about how to build a combined company that's driven by innovation and transformation in the marketplace.

"It's not just about nuts and bolts about how to integrate the two - innovation will be the most impactful part of the success story."

"For Aetna, this deal makes perfect sense, to realize their investment value for their stockholders. It's a great transaction for Aetna on the business side. For CVS, it remains to be seen. They are branching out into unchartered territory. They already own a PBM, Caremark, but to buy an insurance company - it's a very interesting expansion of their own business.

"It's intriguing how they are going to monetize [the acquisition] when they are projecting only $750 million in post-merger synergies. That's not a huge consideration for the price they are paying. I think the success of the merger is going to depend on how much additional business will be derived from the insurance business.

"Now from the consumers' point of view, if an individual is already an Aetna customer, then there's not much change, as Aetna is already using CVS Caremark as their PBM. CVS has other clients that buy from the PBM, and for those clients, the question will be what synergies Aetna brings to the table.

"If you are a large corporate client and are using CVS Caremark, but your insurance is provided by Anthem or UnitedHealthcare, do you now go to Aetna? Then you will be helping grow that side of the business for CVS."

Despite their existence since the early 1970s, the truth is that wellness programs, in general, have been ineffective at demonstrating a clear return-on-investment (ROI) for employers. At the same time however, scientific research indicates employers should see a return of $1.50 to $2.00 from each dollar spent on wellness programs. The disconnect between studies and reality stems from the fact that there is no simple way for an organization to realize the same results. Memphis-connected tech co. makes software free for six months

Employees of Green Circle Life recently discussed what they could do to aid people, amid the COVID-19 pandemic. Other businesses were making masks or hand sanitizer. But, for Green Circle Life - a software company and provider of the web and app-based platform SmartFHR - this wasn't feasible.

The staffers did, however, realize they could help in another crucial area: communication.

On April 16, Green Circle Life announced it was making the communications feature of SmartFHR free to employers for six months.
